TheresearchersfromOhioUniversityusedadatabasethatcoveredmorethan10,000firmsandmorethan64,000differentdirectorsbetween1989and2004.Thentheysimplycheckedwhichdirectorsstayedfromoneproxystatementtothenext.Themostlikelyreasonfordepartingaboardwasage,sotheresearchersconcentratedonthose“surprise”disappearancesbydirectorsundertheageof70.Theyfoundthatafterasurprisedeparture,theprobabilitythatthecompanywillsubsequentlyhavetorestateearningsincreasesbynearly20%.Thelikelihoodofbeingnamedinafederalclass-actionlawsuitalsoincreases,andthestockislikelytoperformworse.Theeffecttendedtobelargerforlargerfirms.Althoughacorrelationbetweenthemleavingandsubsequentbadperformanceatthefirmissuggestive,itdoesnotmeanthatsuchdirectorsarealwaysjumpingoffasinkingship.Oftenthey“tradeup,”leavingriskier,smallerfirmsforlargerandmorestablefirms.
