Outgoing Confidentiality Agreement

保密协议

[CompanyName] Foods Sales Company Ltd., having an address at 5-6F A Mansion, 291 Fumin Road, Shanghai PRC 200031 (“[CompanyName]”) and having an address at [] (“Company”) wish to discuss the project described in Attachment A (the “Project”). In doing so, [CompanyName] may share information with Company. To guard against inappropriate disclosure of this information, the parties have made this Agreement.

[公司]食品销售有限公司 （以下简称“[公司]”），公司地址位于上海市富民路291号悟锦世纪大楼5-6楼， 与 （以下简称“公司”），公司地址位于 [ ] ，有意商讨附件A所描述的项目（以下简称“项目”）。为此，[公司]可能向公司提供信息。为确保该信息免于被不适当的披露，双方特此达成以下协议。

1. What Is Confidential Information? Company will treat as confidential any confidential, proprietary, trade secret or other non-public information, materials, or samples that it obtains, sees, hears, reads, or otherwise learns in connection with the Project that relate to [CompanyName] or any of its affiliates or subsidiaries, whether obtained from [CompanyName], any of its affiliates or subsidiaries, or a third party (“Confidential Information” or “CI”).

1.         什么是保密信息？公司应对从[公司]、[公司]的任何子公司或分支机构、或第三方获得的以下内容保密：该公司获取、听闻、阅读到或者通过其他方式得知的与[公司]、[公司]的任何子公司或者分支机构有关联的机密资讯、专有机密、商业秘密和 其他不为公众所知的信息、材料或者样品（以下简称“保密信息”）。

2. What Is Not Confidential Information? Information is not CI if it: (a) is or becomes publicly known through no fault of Company; (b) is known to Company prior to [CompanyName]’s sharing it, as documented by Company’s business records; (c) is disclosed to Company by a third party having no confidentiality obligation to [CompanyName], as documented by Company’s or third party’s business records; or (d) is independently developed by Company without using CI, as documented by Company’s business records. [CompanyName] has no obligation to treat any information provided by Company as confidential under this Agreement.

2.         什么不属于保密信息？以下信息不属于保密信息：(a) 非因公司的过错而被公众所获悉的信息；(b) 能够被公司的商业记录所证明，在[公司]提供该信息给公司之前，该公司已经获悉的信息；(c) 能够被公司或者第三方的商业记录证明，是某个对[公司]没有保密义务的第三方批露给公司的信息；或者(d) 能够被公司的商业记录证明，公司在没有使用保密信息的前提下，独立开发的信息。根据本协议，[公司]没有义务将公司提供的任何信息视为保密信息。

3. When May Company Obtain Confidential Information? Company may obtain CI starting on the date listed on Exhibit A as the “Beginning CI Sharing Date” and ending one year after that or at the end of the Project, whichever is later. [CompanyName] will share CI at its discretion and is not required to share any information under this Agreement. Company will not acquire any rights to CI.

3.         公司何时可以获取保密信息？公司可以自附件A中所确定的“保密信息共享起始日”起获得保密信息，自“保密信息共享起始日”起一年后或者项目结束后（以日期较后者为准），不再能获得保密信息。之后，[公司]将根据自身的判断决定是否与公司共享保密信息，但没有根据本协议提供保密信息的义务。公司将不得就保密信息获取任何权利。

4. How Will Company Protect Confidential Information? Company will act in good faith to protect the confidentiality of CI. This commitment means that: (a) Company will not disclose CI except as permitted by Sections 5 and 6 below or with [CompanyName]’s prior written approval; (b) Company will use CI only as needed in connection with the Project and not otherwise for its own gain or benefit; and (c) Company will take all reasonable measures to guard against inadvertent disclosure of CI.

4.         公司应如何保护保密信息？公司应本着诚信原则来保护保密信息的保密性。这项承诺意味着：(a) 除非根据下述第5、6款或者有[公司]事先的书面通知，公司不得泄露保密信息；(b) 公司应根据需要将保密信息应用于与项目相关的目的，不能为公司自身收益或利益使用保密信息；(c) 公司应采取一切合理的措施来防止因疏忽而泄露保密信息。

5. Who May Have Access to Confidential Information? Company will allow access to CI only to: (a) its employees who need access to the CI in order to perform the Project; and (b) its agents and subcontractors who (i) need access to the CI to perform the Project, (ii) have been pre-approved by [CompanyName] to work on the Project, and (iii) have signed confidentiality agreements reasonably acceptable to [CompanyName].

5.         谁可以接触到保密信息？公司将仅允许以下人员接触保密信息：(a) 为执行项目而需要接触到保密信息的公司员工；(b) 满足以下条件的公司代理和承包商 (i) 为执行项目而需要接触保密信息；(ii) 事先获得[公司]同意为该项目工作；(iii) 与[公司]签订了[公司]能合理接受的保密协议。

6. When May Company Disclose Confidential Information to Others? If Company is required by court or government order to disclose CI, it must notify [CompanyName] as soon as possible (unless Company is legally prohibited from doing so) and may disclose such CI only to the limited extent required to comply with the order. The CI remains CI and otherwise fully protected under this Agreement.

6.         公司何时可以将保密信息披露给其他人？如果公司被法院或政府部门命令披露保密信息，公司必须立即通知[公司]（除非从法律上公司被禁止这么做），并且只在符合该命令所要求的最小范围内披露该保密信息。同时，该信息仍然为保密信息且完全被本协议所保护。

7. How Long Must Company Protect Confidential Information? Company must protect CI until five years after the Beginning CI Sharing Date. In addition, [CompanyName] may identify to Company in writing any CI that it considers to be a trade secret, which Company will keep confidential forever, or at least as long as the CI remains a trade secret.

7.         公司必须在多长时间内对保密信息保密？公司必须自“保密信息共享起始日”起五年内对保密信息保密。另外，[公司]可能会以书面确认的方式通知公司任何[公司]认为是商业秘密的保密信息，对此保密信息，公司将永久保密或者至少在该保密信息为商业秘密的时期内保密。

8. What Happens to Confidential Information When the Project Ends? After the Project ends, or if requested by [CompanyName], Company will take all reasonable measures to remove any CI from its files (including electronic ones) and return it to [CompanyName] (or delete or destroy it at [CompanyName]’s option). The parties will consult in good faith to agree on any appropriate alternative procedures as needed.

8.         项目结束后，保密信息将被如何处理？项目结束后，或者应[公司]的要求，公司将采取一切合理的措施将保密信息从其文档中（包括电子文档）清除并且返还给[公司]（或应[公司]的要求删除或销毁）。有必要时，双方将基于诚信原则协商其他合理的处理保密信息的程序。

9. How Will this Agreement be Interpreted Or Changed? The laws applying to contracts made and fully performed at [CompanyName]’s location noted above will govern this Agreement. In addition, the parties intend that this Agreement be interpreted in light of basic principles of good faith, common sense business practices, and the importance of the CI. This document sets out the parties’ entire agreement as to CI in connection with the Project and applies to each party’s affiliates. To the extent [CompanyName] shares CI belonging to a [CompanyName] affiliate, subsidiary, or third party, such entity or person is a third party beneficiary of this Agreement. Any changes to this Agreement require another document signed by both parties.

9.         本协议将如何解释或变更？本协议将受上述[公司]所在地的法律管辖。另外，双方均认为本合同应根据诚信原则、商业实践中的常识以及保密信息的重要性进行解释。本文件构成了双方就与项目有关的保密信息所达成的全部协议，并且适用于双方的关联公司。如[公司]向公司提供了属于[公司]关联公司，分支机构，或者第三方的保密信息，则该关联机构，分支机构或者第三方属于本协议的第三方受益人。关于本协议的任何更改，均需双方另行签署书面协议。

The objective of this Confidentiality Agreement is to allow the exchange of information pertaining to [[CompanyName] or any of its affiliates or subsidiaries, or a third party] at Company's facilities.
