TenantsoflowincomecooperativehousingprojectbroughtsuitandallegedviolationsoffederalsecuritieslawsandCivilRightsAct.TheUnitedStatesDistrictCourtfortheSouthernDistrictofNewYork,366F.Supp.1117,dismissedforlackofsubjectmatterjurisdiction(诉讼标的管辖权;事物管辖权。是指法院审理和裁决某一类案件的权限范围,andplaintiffsappealed原告上诉.TheCourtofAppeals,500F.2d1246,reversedandremanded,andcertiorariwasgranted(管辖权移转被允许).TheSupremeCourt,Mr.JusticePowell,heldthatsharesofstock(股份whichentitledpurchaserstoleaseanapartmentinastatesubsidizedandsupervisednonprofithousingcooperativewerenot'securities'withinpurviewofSecuritiesActof1933,andSecuritiesExchangeActof1934;andthatvagueandconclusoryallegationunderCivilRightsActwasrequiredtobedismissed.

TheissueinthesecasesiswhethersharesofstockentitlingapurchasertoleaseanapartmentinCo-opCity,astatesubsidizedandsupervisednonprofithousingcooperative,are'securities'**2055withinthepurviewoftheSecuritiesActof1933andtheSecuritiesExchangeActof1934.
Co-opCityisamassivehousingcooperativeinNewYorkCity.Builtbetween1965and1971,itpresentlyhousesapproximately50,000peopleona200-acresitecontaining35high-risebuildingsand236townhouses.Theprojectwasorganized,financed,andconstructedundertheNewYorkStatePrivateHousingFinanceLaw,commonlyknownastheMitchell-LamaAct,enactedtoameliorateaperceivedcrisisintheavailabilityofdecentlow-incomeurbanhousing.Inordertoencourageprivate*841developerstobuildlow-costcooperativehousing,NewYorkprovidesthemwithlargelong-term,low-interestmortgageloansandsubstantialtaxexemptions.ReceiptofsuchbenefitsisconditionedonawillingnesstohavetheStatereviewvirtuallyeverystepinthedevelopmentofthecooperative.SeeN.Y.Priv.Hous.Fin.Lawss11--37,asamended(1962andSupp.1974--1975.Thedeveloperalsomustagreetooperatethefacility'onanonprofitbasis,'s11--a(2a,andhemayleaseapartmentsonlytopeoplewhoseincomesfallbelowacertainlevelandwhohavebeenapprovedbytheState.[FN1]

TheUnitedHousingFoundation(UHF,anonprofitmembershipcorporationestablishedforthepurposeof'aidingandencouraging'thecreationof'adequate,safeandsanitaryhousingaccommodationsforwageearnersandotherpersonsoflawormoderateincome,'[FN2]AppendixinCourtofAppeals95a(hereafterApp.,wasresponsibleforinitiatingandsponsoringthedevelopmentofCo-opCity.ActingundertheMitchell-LamaAct,UHForganizedtheRiverbayCorporation(RiverbaytoownandoperatethelandandbuildingsconstitutingCo-opCity.Riverbay,anonprofitcooperativehousingcorporation,issuedthestockthatisthesubjectofthislitigation.UHFalsocontractedwithCommunityServices,Inc.(CSI,itswhollyownedsubsidiary,toserveasthegeneralcontractorandsales*842agentfortheproject.[FN3]AsrequiredbytheMitchell-LamaAct,thesedecisionswereapprovedbytheStateHousingCommissioner.

FN2.UHFiscomposedoflaborunions,housingcooperatives,andcivicgroups.IthassponsoredtheconstructionofseveralmajorhousingcooperativesinNewYorkCity.

FN3.CSIisabusinesscorporationthathasactedasthecontractoronseveralUHF--sponsoredhousingcooperatives.

ToacquireanapartmentinCo-opCityaneligibleprospectivepurchaser[FN4]mustbuy18sharesofstockinRiverbayforeachroomdesired.Thecostpershareis$25,makingthetotalcost$450perroom,or$1,800forafour-roomapartment.ThesolepurposeofacquiringthesesharesistoenablethepurchasertooccupyanapartmentinCo-opCity;ineffect,theirpurchaseisarecoverabledepositonanapartment.Thesharesareexplicitlytiedtotheapartment:theycannotbetransferredtoanontenant;norcantheybepledgedorencumbered;andtheydescend,alongwiththeapartment,onlytoasurvivingspouse.Novotingrightsattachtothesharesassuch:participationintheaffairsofthecooperativeappertainstotheapartment,withtheresidentsofeachapartmentbeingentitledtoonevoteirrespectiveofthenumberofsharesowned.

FN4.Respondentsarereferredtohereinvariouslyas'purchasers,''owners,'or'tenants.'Respondentsdonotholdlegaltitletotheirrespectiveapartments,buttheyarepurchasersandownersofthesharesofRiverbaywhichentitlesthemtooccupytheapartments.Byvirtueoftheirrightofoccupancy,respondentsareusuallydescribedastenants.

Anytenantwhowantstoterminatehisoccupancy,orwhoisforcedtomove**2056out,[FN5]mustofferhisstocktoRiverbayatitsinitialsellingpriceof$25pershare.IntheextremelyunlikelyeventthatRiverbaydeclinestorepurchasethestock,[FN6]thetenantcannotsellitformorethan*843theinitialpurchasepriceplusafractionoftheportionofthemortgagethathehaspaidoff,andthenonlytoaprospectivetenantsatisfyingthestatutoryincomeeligibilityrequirements.SeeN.Y.Priv.Hous.Fin.Laws31--a(Supp.1974--1975.

FN5.Atenantcanbeforcedtomoveoutifheviolatestheprovisionsofhis'occupancyagreement,'whichisessentiallyaleasefortheapartment,orifhisincomegrowstoexceedtheeligibilitystandards.

FN6.TodateeveryfamilythathaswithdrawnfromCo-opCityhasreceivedbackitsinitialpaymentinfull.Indeed,atthetimethissuitwasfiledtherewere7,000familiesonthewaitinglistforapartmentsinthiscooperative.Inaddition,aspecialfundofnearly$1millionhadbeenestablishedbysmallmonthlycontributionsfromalltenantstoinsurethatthosewantingtomoveoutwouldreceivefullcompensationfortheirshares.

InMay1965,subsequenttothecompletionoftheinitialplanning,RiverbaycirculatedanInformationBulletinseekingtoattracttenantsforwhatwouldsomedaybeapartmentsinCo-opCity.AfterdescribingthenatureandadvantagesofcooperativehousinggenerallyandofCo-opCityinparticular,theBulletininformedprospectivetenantsthatthetotalestimatedcostoftheproject,basedlargelyonananticipatedconstructioncontractwithCSI,was$283,695,550.Onlyafractionofthissum,$32,795,550,wastoberaisedbythesaleofsharestotenants.Theremaining$250,900,000wastobefinancedbya40-yearlow-interestmortgageloanfromtheNewYorkPrivateHousingFinanceAgency.AfterconstructionoftheprojectthemortgagepaymentsandcurrentoperatingexpenseswouldbemetbymonthlyrentalchargespaidbytheCopr.©
